These terms are binding on the users of rethink.finance and its Platforms ("you", "your", "user(s)") which includes, but is not limited to, any person or entity who accesses, browses, or uses in any form the services ("Services") provided by us, through our Platforms.
By accessing the Services provided by our Platforms, you expressly consent to these Terms and Conditions and understand their meaning and intent. Please read these Terms and Conditions and our Privacy Policy carefully before using our Platforms or the Services provided by us.
General
You agree and acknowledge that the use of the Platforms or Services is solely at your own risk and responsibility and that we bear no responsibility or liability for your use of the Services including, without limitation, for any harm, loss, or damages arising from the incorrect use of the Services, such as errors in smart contracts, network and technical failures, unauthorized access to user wallets, legal and regulatory consequences, or fraud conducted by third parties.
You agree and acknowledge that you will not use the Platforms or Services (i) in a manner that violates any applicable law or regulation; (ii) to fund terrorism or other criminal activity; (iii) to circumvent any export restrictions or economic sanctions; or (iv) to engage in unlawful money transmission, currency exchanging, or money laundering. You may not be eligible to use the services if you are restricted or prohibited by any applicable laws and regulations.
Service
We offer a permissionless user interface (UI) for generating, deploying, and interacting with smart contracts for ERC-20 tokens on multiple blockchains and scaling solutions.
- The platform simplifies the process of generating smart contracts but does not own, deploy, or have custody over contracts created by users.
- Users maintain complete control, defining smart contract requirements through the platform and interacting with contracts via their own non-custodial wallets.
- We do not control the parameters of any smart contract, settlement cycles, access to vaults, KYC, or underlying assets in vaults.
- The platform does not approve created contracts, send assets to smart contracts, sell assets, or provide trading services.
- Users are responsible for transaction fees incurred during deploying and interacting with smart contracts on various blockchains and scaling solutions, with rethink.finance not responsible for these varying fees.
Risks
You acknowledge that rethink.finance operates as a decentralized platform utilizing DAOs and on-chain investment vehicles. This may involve unique risks such as smart contract vulnerabilities, regulatory uncertainty, and market volatility. You agree that you are aware of these risks and assume all responsibility for any financial losses or legal implications.
There are certain risks associated with the use of the Services as well as purchasing, owning, and using Tokens for the receipt of Services. By purchasing these Tokens, you acknowledge that you have read these Terms, and you agree to assume these risks.
You are responsible for implementing reasonable measures for securing your wallet, vault, or other storage mechanisms you use to receive and hold Tokens minted, including any requisite private key(s) or other credentials necessary to access such storage mechanism(s). If your private key(s) or other access credentials are lost, you may lose access to your Tokens. We are not responsible for such losses, costs, expenses, or any other similar loss relating to lost access credentials.
If you intend to mint Tokens, you must execute the deposit to the fund contract address specified. If you make deposit to any other address or entity which is not specified by us, you agree and acknowledge that such payments shall not be received, and we shall not be under any obligation whatsoever to deliver any Tokens to you.
We shall have no obligations in any form or whatsoever to you regarding such minting. Tokens will not be delivered until the deposit request has been settled through governance proposal or delegated permission. We reserve the right to sole and absolute discretion regarding modification of any timelines described herein, to account for network congestion or other technical challenges.
We shall not be responsible for any amount received from an incompatible wallet or Smart Contract account resulting in "lost" tokens that cannot be withdrawn from the account. All Token purchases via us are final, and there shall be no refunds or cancellations after settlement, except as may be required by applicable law or regulation or unless expressly agreed upon by us in writing.
Please acknowledge that any amount paid for Tokens is exclusive of all applicable taxes. Determination of applicable taxes to purchase tokens, including but not limited to value added tax, sales tax, tax on use or any other similar tax, is solely your responsibility and we shall not be held liable for the same. It is also your entire responsibility to withhold, collect, report, and remit the correct taxes to the appropriate tax authorities. We shall not be responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from your purchase of Tokens.
Code of Conduct
- You shall refrain from impersonating any individual or entity, misusing their identification or contact details, creating accounts in their name, or falsely claiming an affiliation with them.
- You shall avoid using materials that are false, offensive, harmful, obscene, pornographic, hateful, defamatory, derogatory, abusive, threatening, or otherwise illegal, or that infringe on the legal rights of others.
- You shall conduct yourself in a civil and respectful manner towards other Users, avoiding any behavior that could be considered toxic, trolling, or that could lead to any form of harassment, including mental or emotional.
- You shall not engage in any form of spamming, which includes but is not limited to the excessive use of capital letters, repetitive text, and exclamation points, as this disrupts the service experience for others.
- You shall not interfere with the security features of the Platforms, such as by disabling or circumventing content use restrictions, or attempting to reverse engineer any part of the Platforms, except as permitted by law. Any such actions will result in a ban from the Platforms.
- You shall not collect, produce, or manipulate usernames or email addresses through automated means or other methods, and you shall not sell or transfer your user profile to any other person or entity without explicit written consent from us.
Issuance and Use of Tokens
The primary purpose of rethink.finance's tokens ("Tokens") is for use on a blockchain platform developed by us for enabling decentralised asset management services. The minting, ownership, receipt, or possession of Tokens confers the right to participate in and interact with rethink.finance's network and services (Vaults and rethink.finance Protocol), subject to successful deployment and operation.
We shall not be responsible for any direct or consequential loss or damage arising from (i) reliance on any information provided, (ii) any errors, omissions, or inaccuracies in any such information, or (iii) any actions resulting from such information.
By minting, owning, and using Tokens, you expressly acknowledge and assume risks including, but not limited to:
- Loss of access to Tokens due to loss of Private Key(s), custodial error, or purchaser error.
- Risks related to the protocol, including mining attacks, hacking, and security weaknesses.
- Risks associated with token markets, including uninsured losses.
- Risks stemming from uncertain regulations and enforcement actions.
- Risks arising from taxation.
- Risks of competing platforms and insufficient interest in the platform or decentralized applications.
- Risks associated with the development and maintenance of the Platform.
- Risk of unfavorable fluctuations in ETH, BTC, or other digital asset values.
- Risk of dissolution of rethink.finance or its platform.
- Risks arising from lack of governance rights.
- Any other unanticipated risks.
By engaging with rethink.finance's services, you acknowledge the decentralized nature of DAOs and the unique challenges and opportunities this presents in asset management.
Third-Party Services
While rethink.finance integrates third-party decentralized applications (DApps), smart contracts, and other blockchain-based services, we do not guarantee or endorse the accuracy, reliability, security, or performance of these services. Our protocol operates independently of these third-party entities, and any interaction with them is at your own risk. We are not liable for any loss or damage arising from the use of these decentralized services. By using rethink.finance, you agree to the terms and conditions of these third-party services, where applicable.
Privacy Policy
To access rethink.finance's services, you may need to provide personal and financial information for identity verification and compliance with legal and regulatory standards. By using our services, you agree to supply necessary information promptly upon request and consent to our data practices as outlined in our Privacy Policy. This includes the handling of data on the blockchain, which may be public and immutable.
Representations and Warranties
- You acknowledge the risks associated with decentralized finance, including the volatility of cryptocurrencies, regulatory uncertainty, and technological risks such as smart contract vulnerabilities.
- You confirm understanding the nature of DAOs and on-chain investment vehicles, including their governance mechanisms and the implications of blockchain transactions.
- You agree that tokens or digital assets acquired through rethink.finance confer rights within the decentralized protocol and are not traditional investments or securities.
- You acknowledge that the purchase and use of tokens comply with the laws and regulations in your jurisdiction, including anti-money laundering (AML) and countering the financing of terrorism (CFT) laws.
- You affirm that funds used to purchase tokens are not derived from illegal activities and will notify us immediately if this changes.
- If you represent an entity, you confirm that you are authorized to agree to these Terms on its behalf, and the entity will be responsible for any violations.
Indemnification
You agree to indemnify, defend, and hold harmless rethink.finance and its affiliates, directors, officers, employees, and agents (collectively, the "rethink.finance Parties") from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) related to:
- Your use or purchase of rethink.finance and Fund DAO tokens or services.
- Your obligations under these Terms.
- Any violation of these Terms or rights of a third party.
- Any unauthorized or illegal use of the rethink.finance platform.
We maintain the right to control the defense of any claim for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.
Disclaimers
- rethink.finance tokens and services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, either express or implied.
- We do not guarantee that the tokens or services will be error-free, uninterrupted, or meet your specific needs.
- We are not liable for any technical, financial, or legal risks associated with blockchain technology and DeFi.
- The tokens do not represent securities, investments, or equity in any company. They are solely for accessing services within the rethink.finance ecosystem.
- Regulatory authorities have not reviewed these Terms. You are responsible for ensuring your compliance with local laws and regulations.
- rethink.finance is not responsible for losses arising from reliance on forward-looking statements or any information provided on our website or other public channels.
Limitation of Liability
- rethink.finance and its parties will not be liable for indirect, incidental, or consequential damages arising from the use of tokens or these Terms.
- Our aggregate liability will not exceed the amount you paid for rethink.finance tokens.
Governing Law and Dispute Resolution
- Any disputes related to these Terms will be governed by the laws of the jurisdiction where rethink.finance is registered.
- Disputes will be resolved through arbitration or in the courts of the registered jurisdiction, at our discretion.
- You waive any right to a class action lawsuit and agree to bring claims only in your individual capacity.
Severability
If any part of these Terms is found unlawful or unenforceable, it will be severed, and the remainder will remain in effect.
Miscellaneous
- These Terms constitute the entire agreement for token purchases.
- We may modify these Terms, with changes effective upon posting on our website.
- We are not liable for delays or failures due to circumstances beyond our control.
- Purchasing tokens does not create a partnership or joint venture with rethink.finance.
- All communications will be in electronic form.
